Terms of Service

These Terms govern the provision of software and consulting services ("Services") by Trovio Ecommerce Solutions ("Trovio") to its clients ("Client"). By engaging Trovio or using our website, you agree to these Terms.

1. Services

Trovio provides ecommerce consulting, marketplace account management, Amazon SP-API integration, software development, ERP, and automation services. The scope of any engagement will be defined in a written proposal, statement of work, or order form.

2. Client Responsibilities

Client agrees to provide accurate information, valid marketplace authorizations, timely feedback, and access to systems required to perform the Services. Client is responsible for compliance with applicable marketplace policies.

3. Fees & Payment

Fees are described in the applicable proposal or order form. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may incur interest at the maximum rate permitted by law.

4. Intellectual Property

Trovio retains ownership of its pre-existing tools, frameworks, and methodologies. Upon full payment, Client receives a non-exclusive license to use deliverables for its internal business purposes, unless otherwise agreed in writing.

5. Confidentiality

Each party will protect the other's confidential information using reasonable measures and use it only for the purposes of the engagement.

6. Data Protection

Trovio processes personal data in accordance with our Privacy Policy and applicable laws including the GDPR. For Amazon SP-API data, Trovio adheres to Amazon's Data Protection Policy.

7. Warranties & Disclaimers

Services are provided "as is" and Trovio disclaims all implied warranties to the maximum extent permitted by law. We do not guarantee specific revenue, ranking, or marketplace outcomes.

8. Limitation of Liability

To the maximum extent permitted by law, Trovio's aggregate liability arising out of or related to the Services shall not exceed the fees paid by Client in the three months preceding the event giving rise to the claim.

9. Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice. Client remains responsible for fees accrued through the date of termination.

10. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of laws principles. Disputes shall be resolved in the competent courts of Dubai.
